NJ SEO Terms of Service
Service Provider, NJ SEO (CharacterPlanet LLC) agrees to provide Client with Packages (SEO and/or PPC) and Reporting Services as described in this marketing agreement. Project will start upon this agreement’s signing work, and successful payment, on a month to month subscription. Client can cancel anytime, for any reason via email, phone, or text. If requested, a confirmation email will be sent to the client for their records. If a payment fails or is delayed, advertising will be paused. The card on file will be automatically charged monthly unless the client requests cancellation or a change in the billing amount.
Reporting
Provider agrees to provide Client with monthly reports detailing activities performed for the previous 30 day period.
Provider and Client agree to make themselves available for a monthly call to discuss this report and any upcoming projects related to this agreement.
Provider agrees to make every effort to produce reports that are easy to read and comprehend and clearly indicate the benefits that activities have had for the Client.
Assignment of Rights
For the purposes of receiving professional digital marketing services, Client agrees to provide the following:
Permission to communicate directly with any and all necessary staff including third party vendors.
Full access to all existing website analytics platforms, such as Google Analytics.
Consent for use of all copyright material for the use of creating informational pages as well as use for anything else deemed necessary by the service provider for needed optimization.
Non Disclosure Agreement
NJ SEO controls software, paid plugins and services for its active clients. Upon termination, NJ SEO will cease function of any paid, premium plugins such as, but not limited to Google AMPforWP. Any free or pre-existing plugins will not be removed upon cancellation. (Deactivation and deletion of plugins) This can be done directly through WordPress admin, or remotely via plugin APIs by NJ SEO to protect its intellectual property. If NJ SEO was hosting the client’s website, hosting will be canceled upon termination. NJ SEO will help clients move to a different hosting platform or agency if information such as logins are available and the website is paid for in full with no outstanding debts. If NJ SEO created the SSL certificate, it will cease its https function upon termination.
All fees and deposits are non-refundable.
IP Access
Provider will not supply viewer access or any access to Google Ads, Microsoft Ads, Meta Ads, Youtube Ads, Linkedin Ads, or the server. These accounts and services are the IP of NJ SEO, wholly owned by the entity. The daily spend is set within each platform using a Shared Daily Budget, and is not guaranteed to spend the full amount each day. The amounts and strategy listed in this agreement are subject to change. The service remains month to month, and the Service Provider maintains the sole discretion to alter any strategy, not limited to SEO, Ads, the actual monies spent, and where it was allocated. If a client cancels, all paid activities including ads, hosting, software and SEO work will be terminated.
If a client changes logins passwords (to WordPress admin or Host) before requesting a cancellation of services (while still an active client), NJ SEO is unable and will not be able to supply files and databases for the client’s WordPress website, as NJ SEO will not have adequate access.
If NJ SEO created call tracking numbers, they will be terminated upon cancellation . Google Analytics, Google Search Console, and Google Business Profile will all be given ownership access to the client's email upon cancellation (if created by NJ SEO), or to an email the client specifies.
Search Engines
Service provider has no claim or control of any participating search engine directory or regulations. If at any point clients property is excluded from said services it will not be at the fault of the Provider.
Provider does not guarantee any search engine rankings for specific keywords due to the complex, competitive nature of SEO.
Client recognizes that some websites will drop listings for no apparent reason. Provider will not be held liable for any penalties or dropped listings abstained from search engine sites
Client understands site rankings change and can fluctuate any day, any time because of on-going changes in the ranking algorithm
Client guarantees all elements of text, graphics, photos, designs, trademarks, or other artwork on the website, or provided to be their property.
Artificial Intelligence Platforms, AI Search, and AI-Generated Content
Service Provider has no claim, ownership, authority, or control over any artificial intelligence platform, AI-powered search engine, AI-generated overview, chatbot, large language model, recommendation system, content discovery platform, directory, or third-party AI system, including but not limited to AI search results, AI summaries, AI rankings, AI overviews, AI-generated recommendations, or AI-generated responses.
Client understands and agrees that Service Provider does not control how any AI platform collects, interprets, indexes, summarizes, ranks, displays, recommends, cites, or excludes Client’s business, website, content, products, services, images, reviews, or other information.
Service Provider does not guarantee placement, visibility, rankings, mentions, citations, summaries, recommendations, inclusion, or favorable treatment in any AI-generated response, AI overview, AI search result, chatbot answer, recommendation engine, or similar artificial intelligence system due to the complex, automated, competitive, and constantly changing nature of such platforms.
Client recognizes that AI platforms may generate, modify, summarize, omit, misinterpret, re-rank, remove, or display information for reasons that are unknown, automated, proprietary, or outside the control of Service Provider. If at any point Client’s property, business, website, content, listings, images, products, services, or other information is excluded, misrepresented, reduced in visibility, incorrectly summarized, or otherwise affected by any AI platform or AI-powered system, such occurrence shall not be deemed the fault or responsibility of Service Provider.
Client understands that AI-generated rankings, AI overviews, AI search visibility, AI citations, AI summaries, and AI-generated recommendations may change or fluctuate at any time due to ongoing changes in AI models, algorithms, training data, indexing systems, third-party data sources, user behavior, platform policies, or other factors outside the control of Service Provider.
Client further understands that AI platforms may produce inaccurate, incomplete, outdated, misleading, or unintended information, and Service Provider shall not be held liable for any such AI-generated content, summaries, rankings, overviews, recommendations, omissions, penalties, exclusions, or changes made by third-party AI systems.
Use of Artificial Intelligence for Client Services
Client authorizes Service Provider to use artificial intelligence tools, software, platforms, and systems on behalf of Client in connection with content creation, marketing, advertising, search optimization, social media, website development, design, strategy, research, analysis, image generation, text generation, editing, enhancement, automation, and related business or promotional purposes.
Such use may include, but is not limited to, the creation, editing, enhancement, modification, optimization, scheduling, posting, publication, or generation of text, graphics, images, photos, videos, captions, advertisements, website content, blog content, social media content, marketing materials, metadata, design concepts, reports, recommendations, and other creative or promotional assets.
Client acknowledges and agrees that Service Provider may use AI-assisted tools as part of its normal workflow to improve efficiency, creativity, analysis, production, optimization, and marketing performance.
Client further authorizes Service Provider to create, post, publish, distribute, or otherwise use AI-generated or AI-assisted content on behalf of Client without requiring prior review, approval, or consent for each individual item of content, unless otherwise agreed to in writing.
Client understands that AI-generated or AI-assisted materials may include text, images, graphics, captions, descriptions, advertisements, social media posts, website content, blog content, marketing materials, and other promotional assets. Client acknowledges that such materials may be created and published as part of ongoing services without advance notice or individual approval.
Client may review AI-generated or AI-assisted content after it has been posted or published. If Client objects to any such content, Client may request that Service Provider remove, delete, revise, or discontinue use of the content, subject to reasonable processing time and any limitations imposed by third-party platforms.
Client understands and agrees that Client’s remedy for dissatisfaction with AI-generated or AI-assisted content shall be limited to requesting removal, deletion, revision, or discontinuation of the content, or discontinuing services with Service Provider in accordance with the terms of the parties’ agreement.
Service Provider shall not be liable for any claims, damages, losses, penalties, costs, or expenses arising from AI-generated or AI-assisted content created, posted, published, or distributed on behalf of Client, provided such content was created or used in connection with the services authorized by Client.
Client represents and warrants that all text, graphics, photos, designs, trademarks, service marks, logos, artwork, business information, product information, claims, or other materials provided by Client to Service Provider are owned by Client, properly licensed by Client, or otherwise authorized for use.
Client further agrees that any materials provided by Client may be used, modified, enhanced, repurposed, incorporated into, or combined with AI-assisted workflows for content creation, marketing, advertising, and related services.
Client agrees to indemnify and hold Service Provider harmless from any claims, damages, liabilities, costs, or expenses arising from materials supplied by Client, AI-generated or AI-assisted content created or published in connection with authorized services, or any third-party claim relating to ownership, intellectual property, accuracy, legality, compliance, or use of such materials.
Payments and Rights
When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your service.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide NJ SEO with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize NJ SEO to charge all Subscription fees incurred through your account to any such payment instruments.
You agree to defend, indemnify and hold harmless NJ SEO and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.
